Terms of Service

Please read these Terms carefully. By creating a PeoplePulse account or using the PeoplePulse service, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the service.

1. Parties and Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you (the "Customer") and NextGen Intelligence LLC ("PeoplePulse", "we", "us", or "our"), a limited liability company incorporated in the United States, with its principal place of business at 733 3rd Avenue, Floor 16 #1078, New York, NY 10017, United States. These Terms govern your access to and use of the PeoplePulse AI-powered HR assistant platform (the "Service").

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. The Service

PeoplePulse provides an AI-powered HR assistant that allows businesses to upload their HR policy documents and give their employees access to instant, accurate answers to HR-related questions via web chat or a dedicated phone hotline. The Service is designed to supplement — not replace — professional HR judgment. PeoplePulse responses are based on the documents you upload and should not be construed as legal advice.

3. Account Registration

To use PeoplePulse, you must register for an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at [email protected] if you become aware of any unauthorised use of your account.

You must be at least 18 years old and have the legal capacity to enter into contracts to register for PeoplePulse. The Service is intended for business use only and is not available to individuals acting in a personal capacity.

4. Subscription Plans and Billing

4.1 Plans

PeoplePulse is offered on a per-employee-per-month (PEPM) subscription basis. Available plans, features, and pricing are described on our Pricing page. We reserve the right to modify pricing with 30 days' written notice.

4.2 Billing cycle

Subscriptions are billed monthly in advance. Your subscription renews automatically on the same date each month unless you cancel before the renewal date. All prices are exclusive of applicable taxes.

4.3 Payment processing

All payments are processed by Stripe, Inc. By providing payment information, you authorise PeoplePulse to charge your payment method for the applicable subscription fees. You agree to Stripe's terms of service in addition to these Terms.

4.4 Free trial

We offer a 14-day free trial for new customers. No credit card is required to start a trial. At the end of the trial period, your account will be downgraded to a read-only state unless you subscribe to a paid plan.

4.5 Refund policy

If you are not satisfied with PeoplePulse, you may request a full refund within 7 days of your first paid charge by contacting [email protected]. After this 7-day window, subscription fees are non-refundable. Refunds are not available for partial billing periods.

5. Cancellation

You may cancel your PeoplePulse subscription at any time from your account settings or by contacting [email protected]. Cancellation takes effect at the end of the current billing period. There are no cancellation fees and no minimum contract term. Upon cancellation, your access to the Service will continue until the end of the paid period, after which your account and data will be scheduled for deletion in accordance with our Privacy Policy.

6. Customer Responsibilities

As a Customer, you are responsible for:

  • Ensuring that the HR policy documents you upload are accurate, current, and that you have the right to upload them.
  • Informing your employees that they are interacting with an AI assistant and that PeoplePulse responses are based on your uploaded policies.
  • Reviewing PeoplePulse responses for accuracy before relying on them for disciplinary, legal, or compliance decisions.
  • Complying with all applicable employment laws in your jurisdiction, including BCEA, LRA, POPIA, and any other relevant legislation.
  • Ensuring that your use of PeoplePulse complies with our Acceptable Use Policy.

7. Intellectual Property

7.1 Our IP

PeoplePulse and all associated software, AI models, interfaces, and content are the intellectual property of NextGen Intelligence LLC. These Terms do not grant you any ownership rights in the Service. You are granted a limited, non-exclusive, non-transferable licence to use the Service during your subscription term.

7.2 Your content

You retain all ownership rights in the HR policy documents and other content you upload to PeoplePulse. By uploading content, you grant us a limited licence to process that content solely to provide the Service to you. We do not use your content to train general AI models.

8. Data Processing

To the extent that PeoplePulse processes personal information on your behalf (for example, conversation logs that may contain employee information), we act as a data processor and you act as the responsible party or data controller. Our data processing practices are described in our Privacy Policy and, where required by POPIA or GDPR, a Data Processing Agreement is available upon request at [email protected].

9. Disclaimers and Limitation of Liability

9.1 No legal or HR advice

PeoplePulse is an AI tool that provides information based on the documents you upload. It does not provide legal advice, HR consulting, or professional services of any kind. You should consult a qualified HR professional or attorney for advice on specific employment matters.

9.2 Service availability

We aim to maintain 99.5% uptime but do not guarantee uninterrupted access to the Service. We are not liable for any loss or damage resulting from downtime, data loss, or service interruptions.

9.3 Limitation of liability

To the maximum extent permitted by applicable law, NextGen Intelligence LLC's total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the total fees paid by you in the 12 months preceding the claim. We are not liable for any indirect, incidental, consequential, or punitive damages.

10. Indemnification

You agree to indemnify and hold harmless NextGen Intelligence LLC, its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any applicable law or the rights of a third party.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, United States, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in New York, NY, under the rules of the American Arbitration Association. Notwithstanding the foregoing, either party may seek injunctive relief in any court of competent jurisdiction.

For customers in South Africa, nothing in these Terms limits your rights under the Consumer Protection Act 68 of 2008 or other applicable South African consumer protection legislation.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you may cancel your subscription before the effective date.
